Technical Services and Automation Division (TSAD)
Bylaws
ARTICLE I. NAME
The official name of this body shall be the Technical Services and Automation Division of the Colorado Association of Libraries. Its official abbreviation shall be CAL/TSAD.
ARTICLE II. OBJECT
The object of this division shall be to contribute to the professional growth and development of its members and to promote activities related to technical services (including acquisitions, cataloging, preservation, and serials) and automation in libraries.
ARTICLE III. AFFILIATIONS
Section 1.
This body shall be a Division of the Colorado Association of Libraries (CAL). The Constitution and Bylaws of that association, to the extent to which they are applicable, take precedence over these Bylaws. This body shall report directly to the Executive Board of the Colorado Association of Libraries and not to a particular association of CAL.
Section 2.
The Division shall be affiliated with the Association for Library Collections and Technical Services of the American Library Association through the Council of Regional Groups.
ARTICLE IV. MEMBERSHIP
Section 1.
Any individual member of the Colorado Association of Libraries interested in supporting the purpose of the CAL/TSAD who elects membership in the Division shall become a member of the Division upon payment of dues to CAL.
Section 2.
All funds are to be in the custody of the Executive Board of the Colorado Association of Libraries, and are to be accounted for and distributed by the CAL Executive Secretary. The Division does not charge or collect dues.
Section 3.
The membership, fiscal, and conference years shall be the same as those of the Colorado Association of Libraries.
ARTICLE V. MEETINGS
Section 1.
The annual meeting of the CAL/TSAD shall be held at the time and place of the annual conference of the Colorado Association of Libraries.
Section 2.
The spring meeting of the CAL/TSAD shall be held each year at a time and place determined by the Executive Council of CAL/TSAD.
Section 3.
Special meetings of the CAL/TSAD may be called by its Executive Council with thirty days written or e-mail notification to its members.
Section 4.
Ten percent of the members of the CAL/TSAD shall constitute a quorum at meetings of the membership.
Section 5.
Voting by mail or by electronic mail may be authorized by the Executive Council for the purpose of selecting officers or conducting necessary business between annual business meetings, or in lieu of a quorum. Procedures for voting by mail or by electronic mail shall be established by the Executive Council.
ARTICLE VI. OFFICERS
Section 1.
The officers of the CAL/TSAD shall be the Chair, the Chair-Elect, who shall serve as Vice-Chair, and the Secretary.
Section 2.
The Chair shall be the chief executive officer of the Division and, subject to the Executive Council, shall have general supervision and control over its affairs; shall preside at all meetings of the membership and the Executive Council; shall recommend to the Council such measures considered desirable to further the objectives and broaden the effectiveness of the CAL/TSAD; shall maintain a record of CAL/TSAD activities to be transferred to the incoming Chair; and shall submit the annual report and TSAD records for archival purposes as outlined in the current revised CAL Meeting Guide and Simplified Parliamentary Procedure Manual to the CAL Executive Secretary. Although the Chair of CAL/TSAD is not an official member of the Executive Board of the Colorado Association of Libraries, the Chair communicates with the Executive Board of CAL as necessary and represents the Division at CAL Executive Board meetings to which the Division is invited. The Chair shall be responsible for liaison activities with the Council of Regional Groups, (CRG), Association of Library Collections and Technical Services (ALCTS) of the American Library Association, and shall represent CAL/TSAD or provide for representation of the division at meetings of CRG by division/ALCTS members.
Section 3.
The Chair-Elect shall assist the Chair in the performance of the duties of that office; shall appoint and chair the Nominating Committee; shall assume all the duties and obligations of the Chair in case of the death or absence of the Chair, or of the inability of that officer from any cause to act.
Section 4.
The Secretary shall record minutes of all meetings of the general membership and the Executive Council; shall submit approved minutes to CAL's Executive Secretary for inclusion in the Archives; shall submit news items of the CAL/TSAD to "Centennial State Libraries Newsletter," the systems newsletters, and other appropriate sources; and shall perform other duties of the Secretary.
Section 5.
The immediate past Chair shall be a member of the CAL/TSAD Executive Council and shall carry out such duties as the Chair may assign.
Section 6.
All terms of office shall be for one year. CAL/TSAD officers shall be ineligible for election to consecutive terms in the same CAL/TSAD office.
Section 7.
In case of vacancy in any office except that of Chair, or the Chair-Elect, the Executive Council may designate some person to discharge the duties of the office for the duration of that term of office.
Section 8.
In case of the withdrawal or vacancy in the office of the Chair-Elect, the Chair shall appoint a special nominating committee. The committee shall present the names of candidates to the Executive Council. The committee shall obtain the written acceptance of each candidate prior to submitting the nominations to the Executive Council. The Executive Council upon acceptance of the nominating committee's report shall authorize a mail or e-mail ballot to the membership of the Division.
ARTICLE VII. EXECUTIVE COUNCIL
Section 1.
The Executive Council shall determine policies and changes for the CAL/TSAD within the limits of the Colorado Association of Libraries Bylaws and the Division Bylaws. It shall take such actions as it considers necessary to carry out the objectives of CAL/TSAD and shall perform such other functions as the membership may direct.
Section 2.
The Executive Council shall consist of the elected officers of the CAL/TSAD, the immediate past Chair and representatives for acquisitions, serials, cataloging, automation, and preservation. Council members shall, as far as possible, include a representative from an academic library, a public library and a school/media center library.
Section 3.
The Council shall meet upon the request of the Chair or any member of the Council and as necessary to conduct the business of the Executive Council.
Section 4.
A majority of those Council members present at a meeting shall constitute a quorum.
ARTICLE VIII. COMMITTEES
Section 1.
Standing and special committees shall be established by the Executive Council for the purpose of delegating such powers and functions as the Council finds desirable for the conduct of its business and for carrying out the objectives of the CAL/TSAD. These committees shall be responsible to and report to the Executive Council.
Section 2.
The CAL/TSAD Chair shall appoint the members and designate the chair of all committees except the Nominating Committee.
Section 3.
The Nominating Committee shall be chaired by the CAL/TSAD Chair-Elect. The Chair-Elect shall appoint at least one other member.
ARTICLE IX. NOMINATIONS AND ELECTIONS
Section 1.
The Nominating Committee shall present the names of candidates for each of the offices of Chair-Elect and Secretary to the Executive Council. The Committee shall obtain the written acceptance of each nominee prior to the submission of its report.
Section 2.
Nominations may also be made in writing by the membership with the consent of the candidate. These nominations are to be sent to the chair of the Nominating Committee in accordance with the CAL election deadlines. Such nominations are to be encouraged and solicited at Division meetings and through CAL publications, and are to be placed on the ballot along with the candidates proposed by the Nominating Committees.
Section 3.
The Nominating Committee shall submit its report in accordance with the CAL calendar for mailing ballots (or e mail balloting if applicable). Mail ballots or e mail ballots shall be distributed to the membership of the Division no later than two weeks prior to the annual CAL meeting.
Section 4.
The ballots shall be counted by the CAL Nominating Committee along with the other CAL ballots. The candidate receiving the highest number of votes cast shall be elected. A tie shall be resolved by a vote of members present at the fall business meeting of the Division.
ARTICLE X. CAL/TSAD SECTIONS.
Section 1.
Sections may be established within the CAL/TSAD upon application to the Executive Council and a majority vote of the same.
Section 2.
Any individual member of the CAL/TSAD who supports the purposes of the Section may be a member. Any individual member of the CAL/TSAD may be a member of one or more Sections.
Section 3.
Dissolution of a Section shall occur upon a majority vote of the Executive Council.
ARTICLE XI. AMENDMENTS TO THE BYLAWS
The bylaws may be amended by a majority vote of those members present and voting at a meeting of the Division provided that specific notice of the proposed amendments has been distributed to the members no less than two weeks prior to the meeting. Bylaws may also be approved/amended by distributing a mail ballot or e-mail ballot to the membership of the Division.
